Skillzcafe is a peer to peer learning platform providing online courses across the globe. At Skillzcafe, we believe that every person possesses specific knowledge that can be leveraged by others to learn and grow, if shared. We provide lucrative opportunities to skilled persons to create and share educational courses to anyone who is willing to learn these courses. We call them as (“Instructors”) and (“Learners”) respectively.

These Terms shall apply to all your activities on the Skillzcafe’s website, mobile and TV applications, our APIs and other related services (“Services”).

Please read these Terms and our Privacy Policy before using Skillzcafe’s Services. These Terms of Service set out the terms and conditions that apply when you use our Services. When you use our Services, you agree to be bound by these Terms. If you don’t agree to all the Terms set out below, you must not use our Services.

If you share and publish a course on the Skillzcafe platform, you must also agree to Skillzcafe’s Instructor Agreement.

Our Privacy Policy describes how we collect, store, use, and disclose your personal information when providing our Services to you, and your rights and choices concerning your information. When you use our Services, you acknowledge that our Privacy Policy applies. If you do not want Skillzcafe to collect, store, use, or share your information in the ways described in our Privacy Policy, you must not use our Services.

CHANGES TO THESE TERMS

We reserve the right, at our discretion, to change, modify, add, or remove portions of these Terms of Service at any time by posting an amended Terms of Service on our site or within the Services. We may provide additional notice, such as an e-mail message or messaging within the Services, of any material changes. Unless we state otherwise, changes are effective when posted. New versions of the Terms of Service and any other policies or rules will be accessible at www.skillzcafe.com or from within the Services. If you continue to use the Services after the changes are posted, you are agreeing that the changes apply to your continued use of the Services.

You can’t make changes to the Terms of Service unless both you and Skillzcafe sign a written amendment. If you have a dispute with Skillzcafe, the version of the Terms of Service in effect at the time Skillzcafe received actual notice of the dispute will apply to such dispute.

If the Terms or our Privacy Policy have any provisions or information that conflict with other Skillzcafe’s rules or policies, these Terms and the Privacy Policy as applicable shall govern.

ACCOUNT REQUIREMENTS

In order to use our Services (including to purchase and enroll in a course or to submit a course for publication), we may ask you to create an Account and select a password and/or provide us with certain personal information, which may include your name, birth date, email address, and, in some cases, payment information. This information will be held and used in accordance with Skillzcafe’s Privacy Policy. You agree to supply Skillzcafe with accurate, complete, and up-to-date information, particularly your email address.

You are responsible for maintaining the security of your Account. You may not transfer your account to someone else or use someone else’s account without their permission. If you contact us to request access to an Account, we will not grant you such access unless you can provide us the login credential information for that account. Don’t share your Account details with others or allow others to access or use your Account. We will treat all acts performed through your Account as being performed by you. You therefore accept responsibility for all acts done using your Account, whether or not authorized by you, including purchases made using any payment instrument (for example, credit card or Google Pay), and you understand you may be held liable for losses incurred by us or any other user of the Services caused by someone else using your Account.

If you become aware of any actual or suspected loss, theft, fraud, or unauthorized use of your Account or Account password, please tell us immediately by contacting our support team.

To create an account on Skillzcafe and use our Services, Learners and Instructors must be at least 18 years of age. Anyone not meeting the age requirements can set up an account with the help of a parent or a legal guardian. Your account will be terminated in case we discover that you have not met the requirements listed above. We may separately request you to verify your identity under the Instructor Agreement before you are authorized to submit a course for publication on Skillzcafe.

SUB-LICENSE TO LEARNERS

Under our Instructor Agreement, when Instructors publish a course on Skillzcafe, they grant Skillzcafe a license to offer a sub-license of the published course to learners. This means that we have the right to sub-license the course to the learners who enroll in the course. As a learner, when you enroll in a course, whether it’s a free or paid course, you are getting from Skillzcafe a license to view the course via the Skillzcafe platform and Services, and Skillzcafe is the licensor of record. Courses are licensed, and not sold, to you. This license does not give you any right to resell the course in any manner (including by sharing account information with a purchaser or illegally downloading the course and sharing it on torrent sites).

Skillzcafe essentially grants you (as a Learner) a limited, non-exclusive, non-transferable license to access and view the courses and associated content for which you have paid all required fees, solely for your personal, non-commercial, educational purposes through the Services, in accordance with these Terms and any conditions or restrictions associated with a particular courses or feature of our Services. All other uses are expressly prohibited. You may not reproduce, redistribute, transmit, assign, sell, broadcast, rent, share, lend, modify, adapt, edit, create derivative works of, sublicense, or otherwise transfer or use any course unless we give you explicit permission to do so in a written agreement signed by a Skillzcafe authorized representative. This also applies to content you can access via any of our APIs.

We generally give a lifetime access license to our Learners when they enroll in a course. However, we reserve the right to revoke any license to access and use courses at any point in time in the event where we decide or are obligated to disable access to a course due to legal or policy reasons, for example, if the course you enrolled in is the object of a copyright complaint. The lifetime access is not applicable to add-on features and services associated with a course, for example translation captions of courses may be disabled by Instructors at any time, and an Instructor may decide at any time to no longer provide teaching assistance or Q&A services in association with a course. To be clear, the lifetime access is to the course content but not to the Instructor.

Instructors may not grant licenses to their courses to Learners directly and any such direct license shall be null and void and a violation of these Terms.

PRICING

The terms provided in the Instructor Agreement and Pricing and Promotions Policy determines the prices of our courses. On some occasions, the prices offered on website may vary from the prices offered on our mobile applications or TV applications, due to mobile and TV platform providers’ pricing systems and their policies around implementing sales and promotions.

We regularly run promotions and sales for our courses and certain courses are only available at discounted prices for a set period of time and may be available to new users only. The price applicable to a course will be the price at the time you checkout and complete your purchase of the course.

Skillzcafe holds the rights to and in its discretion may apply additional discounts on the courses at its Services which may affect the revenue of Instructors. Skillzcafe will not be under any obligation to compensate the Instructors for any loss of revenue on account of such discounts offered by Skillzcafe.

On some occasions, Instructors may offer courses for free to the Learners on our Services. Skillzcafe will not charge any fees from the Learners in connection the courses offered for free by the Instructors.

If you are a student located in a country where use and sales tax, goods and services tax, or value added tax is applicable to consumer sales, we are responsible for collecting and remitting that tax to the proper tax authorities. In certain countries, the price you see may include such taxes.

PAYMENTS AND REFUNDS

Skillzcafe bills for the purchase of courses made by you. If you are logged into/Logged out of your account, the listed currency you see for the purchases made by you is based on country where you are located. We do not enable users to see pricing in other currencies.

Maintaining accurate and current billing information is a mandatory condition of maintaining your Skillzcafe’s account.

Further you may authorize us to charge your debit or credit card or process other means of payment (such as direct debit, or mobile wallet) for those fees. Skillzcafe works with third party payment processing partners to offer you the most convenient payment methods in your country and to keep your payment information secure.

When you make a purchase, you agree not to use an invalid or unauthorized payment method. If your payment method fails and you still get access to the course you are enrolling in, you agree to pay us the corresponding fees within thirty (30) days of notification from us. We reserve the right to disable access to any course for which we have not received adequate payments.

Skillzcafe does not provide any kind of refund at this stage for the purchases made by you on our Services.

OWNERSHIP

The content you post as a Learner or Instructor (including courses) remains yours. By posting courses and other content, you allow Skillzcafe to reuse and share it but you do not lose any ownership rights you may have over your content. If you are a Instructor, be sure to understand the course licensing terms that are detailed in the Instructor Agreement.

The Services are comprised of works that are owned or licensed by Skillzcafe and they are protected by copyright, trademark, trade dress, patent, and other worldwide intellectual property rights and other applicable laws, rules, or regulations. All such rights are reserved (but excluding any content provided by Instructors and Learners). These Terms do not grant you or any other party any right, title, or interest in the Services or any content in the Services. You agree not to use the Services for any other purpose and agree that Skillzcafe will have no liability to you for any damage or loss arising from unauthorized uses.

If you breach these Terms, or any of our other terms that apply to you, we may take action against you, up to and including terminating your account. In addition, you may be breaking the law, including breaches or violations of Skillzcafe’s intellectual property rights. ANY ATTEMPT BY YOU TO DISRUPT OR INTERFERE WITH THE SERVICES, INCLUDING WITHOUT LIMITATION UNDERMINING OR MANIPULATING THE LEGITIMATE OPERATION OF ANY SKILLZCAFE’S SERVICES, IS A BREACH OF SKILLZCAFE’S POLICY AND MAY BE A BREACH OR VIOLATION OF CRIMINAL AND CIVIL LAWS.

PROHIBITIONS

You agree not to do any of the following:

Post, upload, publish, submit or transmit any content that: (i) infringes, misappropriates or violates a third party’s patent, copyright, trademark, trade secret, moral rights or other intellectual property rights, or rights of publicity or privacy; (ii) violates, or encourages any conduct that would violate, any applicable law or regulation or would give rise to civil liability; (iii) is fraudulent, false, misleading or deceptive; (iv) is defamatory, obscene, pornographic, vulgar or offensive; (v) promotes discrimination, bigotry, racism, hatred, harassment or harm against any individual or group; (vi) is violent or threatening or promotes violence or actions that are threatening to any person or entity; or (vii) promotes illegal or harmful activities or substances;
Use, display, mirror or frame the Services, or any individual element within the Services, Skillzcafe’s name, any Skillzcafe trademark, logo or other proprietary information, or the layout and design of any page or form contained on a page, without Skillzcafe’s express written consent;
Access, tamper with, or use non-public areas of the Services, Skillzcafe’s computer systems, or the technical delivery systems of Skillzcafe’s providers;
Attempt to probe, scan, or test the vulnerability of any Skillzcafe system or network or breach any security or authentication measures;
Avoid, bypass, remove, deactivate, impair, descramble or otherwise circumvent any technological measure implemented by Skillzcafe or any of Skillzcafe’s providers or any other third party (including another user) to protect the Services;
Attempt to access or search the Services or download user content from the Services through the use of any engine, software, tool, agent, device or mechanism (including spiders, robots, crawlers, data mining tools or the like) other than the software and/or search agents provided by Skillzcafe or other generally available third party web browsers;
Send any unsolicited or unauthorized advertising, promotional materials, email, junk mail, spam, chain letters or other form of solicitation;
Use any meta tags or other hidden text or metadata utilizing a Skillzcafe’s trademark, logo URL or product name without Skillzcafe’s express written consent;
Use the Services for any commercial purpose or the benefit of any third party or in any manner not permitted by these Terms;
Forge any TCP/IP packet header or any part of the header information in any email or newsgroup posting, or in any way use the Services to send altered, deceptive or false source-identifying information;
Attempt to decipher, decompile, disassemble or reverse engineer any of the software used to provide the Services;
Interfere with, or attempt to interfere with, the access of any user, host or network, including, without limitation, sending a virus, overloading, flooding, spamming, or mail-bombing the Services;
Collect or store any personally identifiable information from the Services from other users of the Services without their express permission;
Impersonate or misrepresent your affiliation with any person or entity;
Violate any applicable law or regulation, including (but not limited to) the Information Technology Act, 2000 and the Indian Penal Code, 1860;or
Encourage or enable any other individual to do any of the foregoing.

ACCESS SKILLZCAFE AT YOUR OWN RISK

Skillzcafe is an online platform and provides a marketplace for Instructors to create and share educational courses and Learners to purchase the courses shared by the Instructors. We do not edit any of the content provided and shared by the Instructors and are not in a position to determine the legality of course content. We therefore do not guarantee in any manner the reliability, validity, accuracy or truthfulness of the courses. If you enroll a course, you rely on any information and access the course provided by a Instructor at your own risk.

By using the Services, you may be exposed to content that you consider offensive, indecent, or objectionable. Skillzcafe has no responsibility to keep such content from you and no liability for your access or enrollment in any course, to the extent permissible under applicable law. This also applies to any courses relating to health, wellness and physical exercise. You acknowledge the inherent risks and dangers in the strenuous nature of these types of courses, and by enrolling in such courses, you choose to assume those risks voluntarily, including risk of illness, bodily injury, disability, or death. You assume full responsibility for the choices you make before, during and after your enrollment in a course.

When you interact directly with a Learner or a Instructor, you must be careful about the types of personal information that you share. We do not control what Learners and Instructors do with the information they obtain from other users on the platform and hence we will not be liable for any damage caused to any party.

SKILLZCAFE’S CONTENT AND BEHAVIOUR RULES

You may not access or use the Services or create an account for unlawful purposes. Your use of the Services and behavior on our platform must comply with applicable local or national laws or regulations of your country. You are solely responsible for the knowledge of and compliance with such laws and regulations that are applicable to you.

If we are put on notice that your course or content violates the law or the rights of others (for example, if it is established that it violates intellectual property or image rights of others, or is about an illegal activity), or if we believe your content or behavior is unlawful, inappropriate, or objectionable (for example if you impersonate someone else), we may remove your content from our platform. Skillzcafe complies with copyright laws.

Skillzcafe has discretion in enforcing these Terms. We may terminate or suspend your permission to use our platform and Services or ban your account at any time, with or without notice, for any violation of these Terms for the following reasons amongst others:

if you fail to pay any fees when due,
upon the request of law enforcement or government agencies,
for extended periods of inactivity,
for unexpected technical issues or problems, or
if we suspect that you engage in fraudulent or illegal activities.

Upon any such termination we may delete your account and content, and we may prevent you from further access to the platforms and use of our Services. Your content may still be available on the platforms even if your account is terminated or suspended. You agree that we will have no liability to you or any third party for termination of your account, removal of your content, or blocking of your access to our platforms and services.

If one of our Instructors has published a course that infringes your copyright or trademark rights, please let us know. Under our Instructor Agreement we require our Instructors to follow the law and respect the intellectual property rights of others.

FEEDBACK AND UNSOLICITED IDEAS

While we cannot accept unsolicited ideas, Skillzcafe is always pleased to receive feedback regarding its existing features. Please only provide specific feedback on existing features, and do not include ideas that our policy will not permit us to accept or consider. You can post these feedbacks at: [teach@skillzcafe.com]

Any feedback you provide is deemed to be non-confidential and non-proprietary. Skillzcafe shall be free to use such information on an unrestricted basis, without any compensation to you or any third party.

Skillzcafe does not accept or consider any unsolicited ideas, suggestions, proposals, comments or materials (“Submissions”). If you still choose to submit your Submissions to Skillzcafe, then regardless of what your letter says, the following terms shall apply to your Submissions. You agree that:

Skillzcafe will consider the Submissions to be non-confidential and non-proprietary.
Skillzcafe shall have no obligations concerning the Submissions, including but not limited to, no obligation to return any materials or acknowledge receipt of any Submissions.
Skillzcafe may use, redistribute, or disclose the Submissions for any purpose and in any way, without any compensation to you or any third party.

THIRD-PARTY WEBSITES, ADVERTISERS OR THIRD-PARTY SERVICES

Skillzcafe may contain links to third-party websites, advertisers, or third-party services that are not owned or controlled by Skillzcafe. Skillzcafe has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party websites or services. If you access a third party website from Skillzcafe, you do so at your own risk, and you understand that this Agreement and Skillzcafe’s Privacy Policy do not apply to your use of such sites. You expressly relieve Skillzcafe from any and all liability arising from your use of any third-party website or services or third party owned content.

Additionally, your dealings with or participation in promotions of advertisers found on Skillzcafe, including payment and delivery of goods, and any other terms (such as warranties) are solely between you and such advertisers. You agree that Skillzcafe shall not be responsible for any loss or damage of any sort relating to your dealings with such advertisers.

We encourage you to be aware of when you leave the Services, and to read the terms and conditions and privacy policy of any third-party website or service that you visit.

INDEMNITY

You agree to defend, indemnify and hold harmless Skillzcafe and its subsidiaries, agents, managers, and other affiliated companies, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Services, including any data or content transmitted or received by you; (ii) your violation of any term of this Agreement, including without limitation your breach of any of the representations and warranties; (iii) your violation of any third-party right, including without limitation any right of privacy, publicity rights or intellectual property rights; (iv) your violation of any law, rule or regulation of India or any other country; (v) any claim or damages that arise as a result of any of your user content or any contents that are submitted via your account; (vi) any other party’s access and use of the Services with your unique username, password or other appropriate security code or (vii) any acts, omissions, or non-performance of any help or action requested from another user of the Services.

LIMITATION OF LIABILITY

You agree that our entire liability, and your exclusive remedy, with respect to any Services provided under this Agreement and any breach of this Agreement is solely limited to an amount of Rs 1,000/- or the amounts you have paid us over the last twelve months, whichever is greater.

Skillzcafe and its directors, employees, affiliates, subsidiaries, agents and third party providers, shall not be liable for any direct, indirect, incidental, special, or consequential damages resulting from the use or inability to use any of the Services or for the cost of procurement of substitute Services. Because some states do not allow the exclusion or limitation of liability for consequential or incidental damages, in such states, our liability is limited to the extent permitted by law.

We disclaim any and all loss or liability resulting from, but not limited to: (1) loss or liability resulting from access delays or access interruptions; (2) loss or liability resulting from data non-delivery or data mis-delivery; (3) loss or liability resulting from acts of God; (4) loss or liability resulting from the unauthorized use or misuse of your account identifier or password; (5) loss or liability resulting from errors, omissions, or misstatements in any and all information or services(s) provided under this Agreement; (6) loss or liability resulting from the interruption of your service; or (7) loss or liability arising from any acts, omissions, or non-performance of any help or action requested from another user of the Services.

You agree that we will not be liable for any loss of registration and use of your email address, or for interruption of business, or any indirect, special, incidental, or consequential damages of any kind (including lost profits) regardless of the form of action whether in contract, tort (including negligence), or otherwise, even if we have been advised of the possibility of such damages.

DISCLAIMER OF WARRANTIES

You agree that your use of our Services is solely at your own risk. You agree that such Services are provided on an "as is," "as available" basis.

We expressly disclaim all warranties of any kind, whether express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We make no warranty that the Services will meet your requirements or that the Services will be uninterrupted, timely, secure, or error free; nor do we make any warranty as to the results that may be obtained from the use of the Services or as to the accuracy or reliability of any information obtained through the Services or that defects in the services will be corrected.

You understand and agree that any material and/or data downloaded or otherwise obtained through the use of Services is done at your own discretion and risk and that you will be solely responsible for any damage to your computer system or loss of data that results from the download of such material and/or data.

We make no warranty regarding any goods or services purchased or obtained through the Services or any transactions entered into through the Services. No advice or information, whether oral or written, obtained by you from us or through the Services shall create any warranty not expressly made herein.

DISPUTES BETWEEN OR AMONG INSTRUCTORS AND LEARNERS

Skillzcafe values its users, and we understand that occasionally disputes may arise between or among them. Our goal is to provide tools to help Instructors and Learners resolve such disputes independently. In the rare event a dispute regarding an interaction related to the Services cannot be resolved independently, you agree, at Skillzcafe's request, to participate with good faith, to the extent you are reasonably able to do so, in a neutral resolution or mediation conducted by Skillzcafe or a neutral third-party mediator or arbitrator selected by Skillzcafe. Notwithstanding the foregoing, you acknowledge and agree that Skillzcafe is under no obligation to become involved in or impose resolution in any dispute between or among users or any third party.

FORCE MAJEURE

We are not liable for any changes or problems out of our control, for example changes or problems caused by natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

NOTICES

If we have to give you notice of something according to the Terms, we may notify you by posting a message on our website or by sending you an e-mail, or using other ways of communicating with you based on the contact information you provide to us.

If you have to give us notice of something according to the Terms, the notice must be in writing and addressed to [Insert Company Name and Address], unless we have provided a more specific way of notifying us.

NO WAIVER

The failure of Skillzcafe to require or enforce strict performance by you of any provision of these Terms or the Skillzcafe Privacy Policy or failure to exercise any right under them shall not be construed as a waiver or relinquishment of Skillzcafe's right to assert or rely upon any such provision or right in that or any other instance.

The express waiver by Skillzcafe of any provision, condition, or requirement of these Terms of Service or the Skillzcafe Privacy Policy shall not constitute a waiver of any future obligation to comply with such provision, condition or requirement.

Except as expressly and specifically set forth in this these Terms, no representations, statements, consents, waivers, or other acts or omissions by Skillzcafe shall be deemed a modification of these Terms of Service nor legally binding, unless documented in physical writing, hand signed by You and a duly appointed officer of Skillzcafe.

NATURE OF RELATIONSHIP BETWEEN YOU AND SKILLZCAFE

You and Skillzcafe agree that no joint venture, partnership, employment, contractor, or agency relationship exists between us.

ASSIGNMENT AND TRANSFER OF OWNERSHIP

We may give our rights, or our obligations, under these Terms to any person or entity at any time with or without your consent. You may not assign or transfer your rights or your obligations under these Terms to anyone without first getting Skillzcafe’s written consent, and any attempt to do so without our consent is void.

Nothing in these Terms confers any right, benefit, or remedy on any third-party person or entity. You agree that your account is non-transferable and that all rights to your account and other rights under these Terms terminate upon your death.

Skillzcafe has full discretion to sell its stake in the company and transfer ownership to any third party or parties. Upon transfer, the new owner(s) will have full rights to redefine the terms of the services provided to you.

BINDING AGREEMENT

By registering, accessing or using our Services, you are agreeing to enter into a legally binding contract with Skillzcafe. If you do not agree to these Terms, do not register, access, or otherwise use any of our Services.

If you are a Instructor accepting these Terms and using our Services on behalf of a company, organization, government, or other legal entity, you represent and warrant that you are authorized to do so.

Any version of these Terms in a language other than English is provided for convenience and you understand and agree that the English language will control if there is any conflict.

These Terms (including any agreements and policies linked from these Terms) constitute the entire agreement between you and us (which include, if you are a Instructor, the Instructor Agreement and the Pricing and Promotions Policy).

If any part of these Terms is found to be invalid or unenforceable by applicable law, then that provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of these Terms will continue in effect.

APPLICABLE LAW AND JURISDICTION

These Terms are governed by and to be interpreted in accordance with laws of India, without regard to the choice or conflict of laws provisions of any jurisdiction. You agree, in the event of any dispute arising in relation to these Terms or any dispute arising in relation to the web site whether in contract or tort or otherwise, to submit to the jurisdiction of the courts located at [Gurgaon, Haryana] for the resolution of all such disputes.

This Privacy Policy applies when you use Skillzcafe’s services and tells you, amongst other things, about:

This Privacy Policy applies whenever you use our “Services”, which means our website, mobile applications, TV applications, and/or other services including any other domains or websites operated by Skillzcafe. “Skillzcafe”, “we”, “our”, or “us” in this Privacy Policy refers to Skillzcafe Learning Solutions Pvt. Ltd. By using Skillzcafe’s Services, you consent to the data practices described in this policy.

COLLECTION OF YOUR DATA

Personal Information: Skillzcafe may collect personally identifiable information such as your name. We may also collect anonymous demographic information, which is not unique to you, such as your age, gender, household income, political affiliation, race and religion. We may gather additional personal or non-personal information in the future.

Data in our Logs: When you use Skillzcafe’s Services, our system automatically records that information (“data in our logs”) including information that your internet browser sends whenever you search a website or your mobile application sends when you are using it going to and from different applications. The data in our logs may also include your IP address, the address of the most recent web pages you’ve visited that had our features, browser type and settings, the date and time of your request, how you used Skillzcafe, and cookie data.

Computer and device information: Information about your computer, Internet connection and mobile device, including your IP address, operating systems, platforms, browser type, other browsing information (connection, speed, connection type etc.), device type, device's unique device identifier, mobile network information and the device's telephone number. This information is used for the operation of the service, to maintain quality of the service, and to provide general statistics regarding use of our website.

Your Public Posts: You also may provide information (such as reviews, comments, likes, bookmarks, friends, lists, etc.) to be published or displayed (hereinafter, "posted") on publicly accessible areas of our Services, or transmitted to other users of our Services or third-parties (collectively, "User Contributions"). Your User Contributions are posted on and transmitted to others at your own risk. Although we limit access to certain pages, you may set certain privacy settings for such information by logging into your account profile. Please be aware that no security measures are perfect or impenetrable (see "Security" section below). Additionally, we cannot control the actions of other users of our Services with whom you may choose to share your User Contributions. Therefore, we cannot and do not guarantee that your User Contributions will not be viewed by unauthorized persons. We may however display this information on the Services, share it with businesses, and further distribute it to a wider audience through third party sites and services. You should be careful about revealing any sensitive details about yourself in such postings.

Course Data: When you enroll in and take courses, we collect certain data including which courses, assignments and quizzes you’ve started and completed; your exchanges with Instructors, teaching assistants, and other learners; and essays, answers to questions, and other items submitted to satisfy course requirements.

Learner Payment Data: If you make purchases, we collect certain data about your purchase (such as your name and zip code) as necessary to process your order. You must provide certain payment and billing data directly to our payment processing partners, including your name, bank account information, billing address, and zip code. For security, Skillzcafe does not collect or store sensitive cardholder data, such as full credit card numbers or card authentication data.

Instructor Payment Data: If you are an Instructor, you can link your bank account to the Services to receive payments. When you link a payment account, we collect and use certain information, including your payment account email address, account ID, physical address, or other data necessary for us to send payments to your account. In order to comply with applicable laws, we also work with trusted third parties who collect tax information as legally required. This tax information may include residency information, tax identification numbers, biographical information, and other personal information necessary for taxation purposes. For security, Skillzcafe does not collect or store sensitive bank account information. The collection, use, and disclosure of your payment, billing, and taxation data is subject to the privacy policy and other terms of your payment account provider.

Information about Your Messages: If you exchange messages with others through the Services, we may store them in order to process and deliver them, allow you to manage them, and investigate possible violations of our Terms of Use and wrongdoing in connection with the Services. If you send information from the Services to your mobile device via SMS text message, we may log your phone number, phone carrier, and the date and time that the message was processed. Carriers may charge recipients for texts that they receive.

Anonymous or De-Identified Data: We may anonymize and/or de-identify information collected from you through the Services or via other means, including via the use of thirdparty web analytic tools as described below. As a result, our use and disclosure of aggregated and/or de-identified information is not restricted by this Privacy Policy, and it may be used and disclosed to others without limitation.

We share data that we have about you with Instructors or teaching assistants for courses you enroll in or request information about, so they can improve their courses for you and other learners. This data may include things like your city, country, browser language, operating system, device settings, the site that brought you to Skillzcafe, and your activities on Skillzcafe. If we collect additional data about you (like age or gender), we may share that too. We also enable our Instructors to implement Google Analytics on their course pages to track sources of traffic to their courses and optimize their course pages.

Depending on your settings, your shared content and profile data may be publicly viewable, including to other learners and Instructors. If you ask a question to an Instructor or teaching assistant, your information (including your name) may also be publicly viewable by other users depending on your settings.

We may share data with trusted partners to help perform statistical analysis, send you email or postal mail. All such third parties are prohibited from using your personal information except to provide these services to Skillzcafe, and they are required to maintain confidentiality of your information.

We may share personal information with our other corporate entities and affiliates. These entities and affiliates may market to you as a result of such sharing unless you explicitly optout.

We may keep track of the websites and pages our users visit within Skillzcafe and this data is used to deliver customized content within Skillzcafe to customers whose behavior indicates that they are interested in particular subject area.

Instructor Terms

Skillzcafe is an online marketplace platform which allows Instructors to create and share educational courses to Learners. To start on Skillzcafe, an Instructor is required to sign up for opening an account on Skillzcafe’s Services or sign this document and agree to abide by these Instructor Terms (hereinafter “Terms”). These Terms are also incorporated by Reference into our Terms of Use. Any capitalized terms that aren't defined in these Terms are defined as specified in the Terms of Use.

CHANGES TO THESE TERMS

We reserve the right, at our discretion, to change, modify, add, or remove portions of the Terms at any time by posting the amended Terms on our site or within the Services. We may provide additional notice, such as an e-mail message or messaging within the Services, of any material changes. Unless we state otherwise, changes are effective when posted. New versions of the Terms will be accessible at www.skillzcafe.com or from within the Services. If you continue to use the Services after the changes are posted, you are agreeing that the changes apply to your continued use of the Services.

INSTRUCTOR REPRESENTATIONS AND WARRANTIES

You as an Instructor, will be solely responsible for all the content that is posted by you on Skillzcafe, including but not limited to lectures, discourses, tests, examinations, coding exercises, quizzes, practice tests, assignments, answers, and announcements ("Posted Content").

Representations

You will maintain your account properly and ensure that correct information is provided to us regarding your credentials;
You are qualified and have the necessary skills, credentials and expertise to provide the Posted Content;
You own the Posted Content or have the necessary consents, permissions, licenses, rights, and authority to authorize Skillzcafe to use your Posted Content as specified in these Terms and the Terms of Use;
Your Posted Content will not infringe or misappropriate any third party's intellectual property rights; and
You will maintain highest standards of quality in services offered by you that correspond to or are better than the industry standards at all times.

Warranties:

You will not impersonate another person or gain unauthorized access to another person's account;
You will not take any action or conduct yourself in a manner that puts Skillzcafe into legal trouble;
You will not use Skillzcafe’s Services in an unauthorized manner such as offering business other than providing tutoring, teaching, and instructional services to Learners;
You will not post or provide any inappropriate, criminal, offensive, racist, hateful, sexist, pornographic, false, misleading, incorrect, infringing, defamatory or libelous content or information;
You will not post or transmit any unsolicited or unauthorized advertising, promotional materials, junk mail, spam, or any other form of solicitation (commercial or otherwise) through the Services or to any user;
You will not submit any Posted Content that would require us to obtain licenses from or pay royalties to any third party, including the need to pay royalties for the public performance of a musical work or sound recording; or
You will not interfere with or otherwise prevent other Instructors from providing their services or courses

SUB-LICENSE TO LEARNERS

You grant Skillzcafe the rights and authorization to sub-license your Posted Content to Learners as detailed in the Terms of Use, directly or through third parties. This includes the right to add captions or otherwise modify content to ensure accessibility.

Unless otherwise agreed, you have the right to remove all or any portion of your Posted Content from the Services at any time. Except as otherwise agreed, Skillzcafe's right to sublicense the rights in this section will terminate with respect to new users 60 days after the Posted Content's removal. However, rights given to students before the Posted Content's removal will continue in accordance with the terms of those licenses (including any grants of lifetime access) and Skillzcafe’s right to use such Posted Content for marketing purposes shall survive termination.

We may record all or any part of your Posted Content for quality control and for delivering, marketing, promoting, demonstrating, or operating the Services. You grant Skillzcafe permission to use your name, likeness, voice, and image in connection with offering, delivering, marketing, promoting, demonstrating, and selling the Services, your Posted Content, or Skillzcafe's content, and you waive any rights of privacy, publicity, or other rights of a similar nature, to the extent permissible under applicable law.

SECURITY GUIDELINES

Skillzcafe reserves the right to terminate the account of Instructors, remove Posted Content, and suspend payments, for any reason at any time, without prior notice, inter alia where:

an Instructor does not comply with the Representations and Warranties mentioned above;
a Posted Content does not comply with our Terms of Use or any other policies or rules;
an Instructor engages the services of a marketer or other business partner who violates Skillzcafe's policies; or
as determined by Skillzcafe in its sole discretion.

CO-INSTRUCTORS AND TEACHING ASSISTANTS

The Skillzcafe platform allows you to add other users as co-Instructors or teaching assistants for courses that you manage. By adding a co-Instructor or teaching assistant, you understand that you are authorizing them to take certain actions that affect your Skillzcafe account and courses. Skillzcafe is not able to advise on any questions or mediate any disputes between you and such users. It will be the responsibility of the Instructors to set a revenue share for the co-Instructors or Teaching Assistants and ensure payments are made to them in a timely manner.

RELATIONSHIP WITH LEARNERS

Instructors don't have a direct contractual relationship with learners, so the only information you'll receive about learners is what is provided to you through the Services. You agree that you will not use the data you receive for any purpose other than providing your services to those learners on the Skillzcafe platform, and that you won't solicit additional personal data or store students' personal data outside the Skillzcafe platform. You will indemnify Skillzcafe against any claims arising from your use of students' personal data.

PRICING OF POSTED CONTENT

At Skillzcafe, Instructors will have the discretion to fix the base price for the courses offered by them. The Instructors will also have the discretion to provide discounts on the courses offered by them to Learners. Skillzcafe and the Instructors can also offer separate discount coupons to Learners over and above the initial discount offered by the Instructors. These discount coupons can be availed by the Learners at the time of purchasing a course with the restriction that only one discount coupon can be used at a given time.

Alternatively, an Instructor may also choose to offer a course for free to Learners – in which case Skillzcafe will not charge any fees from Learners.

You give us permission to share your courses for free with our employees, with selected partners, and in cases where we need to restore access accounts who have previously purchased your courses. You understand that you will not receive compensation in these cases.

TRANSACTION TAXES

If a student purchases a product or service in a country that requires Skillzcafe to remit national, state, or local sales or use taxes, value added taxes (VAT), or other similar transaction taxes ("Transaction Taxes"), under applicable law, we will collect and remit those Transaction Taxes to the competent tax authorities for those sales. We may increase the sale price at our discretion where we determine that such taxes may be due.

PROMOTIONAL POLICY

Our Promotions Policy includes several marketing programs which will help you increase your revenue potential on Skillzcafe. We hold the rights to select Instructors for these marketing programs at our discretion.

REVENUE SHARE AND PAYMENTS

Our endeavor is to ensure that Learners get high quality content from our Instructors and we understand that it is only possible if the Instructors earn a sizeable amount of revenue from the payments received from the Learners. We want to become an online marketplace platform known for delivering high quality content in its courses provided by the Instructors.

With the above goal in mind, we have derived a simple revenue sharing model for our Instructors. From the amount paid by Learners as course fees for a course provided by an Instructor, the Instructor will receive 85% of the course fees received from Learners. All payment processing fees, any applicable transaction taxes or any other applicable taxes or fees such as handling fees or administrative fees will be deducted from the 85% revenue earned by the Instructor. The revenue share of Skillzcafe will be the remaining 15% of the fees paid by the Learners. If we change this payment rate, we will provide you a 30 day notice via email or by posting a notice through our Services.

Skillzcafe understands the value of its Instructors, and hence it will not charge any commission on any Learner traffic generated by the Instructors through the links generated on Skillzcafe’s platform (“Inorganic Traffic”). However, all payment processing fees, any applicable transaction taxes or any other applicable taxes or fees such as handling fees or administrative fees will be deducted from the revenue earned by the Instructors through the Inorganic Traffic.

Skillzcafe makes all Instructor payments in U.S. dollars (USD) regardless of the currency with which the sale was made. You will assume transaction processing fees, including foreign currency conversion fees and wiring fees.

We pay our Instructors through PayPal or bank transfer. To ensure timely payments are made to you, you need to link your bank account with your Skillzcafe’s account. Please ensure that correct PayPal account or bank details are provided. In the event any payment is transferred by Skillzcafe to a wrong account based on the information by you, you understand and agree that Skillzcafe shall not be held responsible for the erroneous transfer. Our endeavor will be to transfer the payments within 45 days of the end of the month in which the course was sold to Learners.

You must also provide any tax documentation and identifying information such as name, age, email address, etc. necessary for payment of amounts due, and you agree that we have the right to withhold appropriate taxes from your payments. We reserve the right to withhold payments or impose other penalties if we do not receive proper identifying information from you. You understand and fully agree that you are ultimately responsible for any taxes on your income.

We reserve the right not to pay any money to the Instructor in the event of fraud, violations of intellectual property rights, or any other violations identified at the Instructor’s end by Skillzcafe.

INTELLECTUAL PROPERTY

We may authorize you to use our Intellectual Property such as our Trademarks during your relationship with us as a published Instructor subject to the requirements below:

You must only use our Intellectual Property such as our Trademarks in connection with the promotion and sale of your Skillzcafe courses or your participation on Skillzcafe; and
You must immediately comply if we request that you discontinue use.
You must not use our Intellectual Property such as Trademarks in a misleading or disparaging way;
You must not use our Intellectual Property such as our Trademarks in a way that implies that we endorse, sponsor, or approve of your courses or services; or
You must not use our Intellectual Property such as our Trademarks in a way that violates applicable law or in connection with an obscene, indecent, or unlawful topic or material.

ACCOUNT DELETION RULES

You may delete your account at any point of time by sending us a request @ rb@skillzcafe.com. We will evaluate your account and satisfy that there are no pending payments or any other issues remaining in the account before proceeding to delete the account. We will try to ensure that all pending payments are cleared before the account is deleted. However, there may be occasions when the payment may be cleared later. We will inform you about such instances in advance and ensure that all undisputed payments are cleared timely. You agree that if Learners have previously enrolled in your courses, your name and that Posted Content will remain accessible to those Learners even after your account is deleted.

NATURE OF RELATIONSHIP BETWEEN YOU AND SKILLZCAFE

You and Skillzcafe agree that no joint venture, partnership, employment, contractor, or agency relationship exists between us.

Below we list the different types of Cookies we may use on the Skillzcafe Services.
